\nPETITIONER<\/span><\/b><\/span>, YXZ INC.<\/b>, through counsel<\/span><\/span> and unto
\nthis Honorable Commission, most respectfully states, that:<\/span><\/div>\n
\n1.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span>Petitioner is <\/span><\/span>a domestic
\ncorporation duly organized and existing under the Corporation Code and
\nregistered with Securities and Exchange Commission (SEC), with office address
\nat <\/span>1000 Tower, Unit 456<\/span><\/u><\/b>,<\/span><\/u><\/b> Garnet Road, Pasig City<\/span><\/u><\/b>,<\/span>
\nwhere it maybe served with Commission\u2019s notices and other processes;<\/span><\/div>\n
\n2.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>ABC, Inc. (\u201cABC\u201d for brevity ) is a duly
\nregistered stock<\/span><\/span> corporation<\/span><\/span>, with SEC
\nRegistration No. <\/span><\/span>PHL09-00143<\/span><\/u><\/b><\/span>\u00a0 and has its principal office\u00a0 at Unit 143, 2000 Building, Garnet Road,
\nPasig City<\/span><\/span>;<\/span><\/span><\/div>\n
\n3.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>Petitioner is the developer\u2013owner of the ABC and
\nowns <\/span><\/span>59<\/span><\/span>% of the total shares of stock of ABC.\u00a0 Copy of the list of Certificate of Stock is
\nhereto attached as Annex \u201cA<\/b>\u201d and
\nmade an integral part of this Petition;<\/span><\/span><\/div>\n
\n4.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>Under the new By-Laws of ABC, the annual
\nstockholders meeting shall be held on the last working day of <\/span><\/span>April<\/span><\/span> of every year.\u00a0 However, the last stockholder\u2019s meeting was
\nheld on <\/span><\/span>29<\/span><\/span> <\/span><\/span>April<\/span><\/span> 2008 where five directors were elected, namely: Cinderella
\nOne, Snow White Two, Fiona Three, Barbie Four and Ken Fifth. \u00a0Copy of the new By-Laws is attached as Annex \u201cB<\/b>\u201d hereof;<\/span><\/span><\/div>\n
\n5.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>In 2009, ABC failed to conduct its annual
\nstockholder\u2019s meeting in view of the Temporary Restraining Order (TRO) issued
\nby Branch 20 of the Regional Trial Court (RTC) of Pasig, enjoining ABC from
\nholding its Annual Stockholders Meeting scheduled on <\/span><\/span>April<\/span><\/span> 30, 2009; <\/span><\/span><\/span><\/div>\n
\n6.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>With said TRO issued in 2009 up to this date, no
\nstockholder\u2019s meeting was conducted.\u00a0
\nThus, all its current directors are in hold-over capacities;<\/span><\/span><\/div>\n
\n7.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>Since\u00a0 the
\nlast election of the Board of Directors was in 200<\/span><\/span>8<\/span><\/span>, the number of
\ndirectors\u00a0 standing\u00a0 in the Board as of date is reduced to three
\n(3) and two of them are facing disqualification petition before the special
\ncommercial court of Regional Trial Court of Pasig;<\/span><\/span><\/div>\n
\n8.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>On 12 February 201<\/span><\/span>1<\/span><\/span>, XYZ filed a
\nPetition calling for a Special Stockholder\u2019s Meeting before this Honorable
\nCommission and which thereafter issued an Order dated 29 <\/span><\/span>March<\/span><\/span> 201<\/span><\/span>2<\/span><\/span> directing the
\nCorporate Secretary to send notices of the Stockholders Meeting and election of
\ndirectors to all <\/span><\/span>stockholders of the corporation<\/span><\/span>.\u00a0 Copy of said Order is hereto attached as
\nAnnex \u201c<\/span><\/span>C<\/span><\/b><\/span>\u201d;<\/span><\/span><\/div>\n
\n9.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>Despite the said Order of the Honorable
\nCommission,\u00a0 ABC\u2019s Board of Directors
\nfailed to convene after notices had been duly given to all members of the Board,
\ninsisting the TRO issued by the Regional Trial Court of Pasig City ;<\/span><\/span><\/div>\n
\n10.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>\u00a0On 28
\nAugust 201<\/span><\/span>4<\/span><\/span>, the Regional Trial Court of <\/span><\/span>Pasig City<\/span><\/span>, Branch 20 rendered
\na Decision in SEC Case No. 0<\/span><\/span>18<\/span><\/span>–<\/span><\/span>28<\/span><\/span>, entitled, \u201c<\/span><\/span>Prince Charming<\/span><\/span> and <\/span><\/span>Queen Amidala<\/span><\/span> vs. <\/span><\/span>ABC<\/span><\/span>, Inc.; <\/span><\/span>XYZ Inc.<\/span><\/span>
\n(Defendant-in-Intervention), denying
\nand dismissing<\/u><\/b> the Complaint for Annulment of certain provisions of
\nSection <\/span><\/span>2<\/span><\/span>, Article X<\/span><\/span>VI<\/span><\/span> of the new By-Laws<\/span><\/span> of ABC<\/span><\/span>.\u00a0 Copy of said decision is hereto attached as
\nAnnex \u201c<\/span><\/span>D<\/span><\/b><\/span>\u201d;<\/span><\/span><\/div>\n
\n11.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>In view of the dismissal of the Complaint filed by
\nshareholder<\/span><\/span>s<\/span><\/span> of <\/span><\/span>ABC<\/span><\/span>, herein Petitioner requested <\/span><\/span>ABC<\/span><\/span> (for the nth time<\/i>) to call for a special
\nstockholders meeting for the purpose of electing new set of Directors.\u00a0 On its letter dated 9 November 201<\/span><\/span>4<\/span><\/span>, Petitioner
\ncontends that with the dismissal of the Complaint filed by <\/span><\/span>Prince Charming<\/span><\/span> and <\/span><\/span>Queen Amidala<\/span><\/span>, there will be no
\nmore legal impediment for <\/span><\/span>ABC<\/span><\/span> to call the said meeting.\u00a0\u00a0 Copy of said letter is hereto attached as
\nAnnex \u201c<\/span><\/span>E<\/span><\/b><\/span>\u201d;<\/span><\/span><\/div>\n
\n12.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>In their reply dated 19 <\/span><\/span>December <\/span><\/span>\u00a0201<\/span><\/span>4<\/span><\/span>, ABC denied the request of the herein\u00a0 Petitioner\u00a0
\nto call for a special stockholder\u2019s meeting in view of the <\/span><\/span>\u00a0Petition for Review filed by Prince Charming<\/span><\/span>.\u00a0 Copy of said letter is hereto attached as
\nAnnex \u201c<\/span><\/span>F<\/span><\/b><\/span>\u201d;<\/span><\/span><\/div>\n
\n13.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>On<\/span><\/span> 29 <\/span><\/span>January<\/span><\/span> 201<\/span><\/span>5<\/span><\/span>, <\/span><\/span>XYZ, Inc. <\/span><\/span>\u00a0sent another letter to <\/span><\/span>ABC<\/span><\/span>, reiterating its
\nprevious request to call for a special stockholder\u2019s meeting for the purpose of
\nelecting new set of Directors.\u00a0 Copy of
\nsaid letter is hereto attached as Annex \u201c<\/span><\/span>G<\/span><\/b><\/span>\u201d;<\/span><\/span><\/div>\n
\n14.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>In view of the dismissal of the Complaint filed by
\n<\/span><\/span>Prince Charming<\/span><\/span> and <\/span><\/span>Queen Amidala<\/span><\/span>, the calling of a
\nSpecial Meeting for the purpose of electing new set of Directors
\nnotwithstanding of any appeal or petition filed <\/span><\/span>Prince Charming<\/span><\/span>, is proper<\/b><\/u> unless restrained by the
\nappellate court.\u00a0 In the case of Spouses
\nDaisy and Socrates Arevalo (18 April 2012) citing \u00a0<\/span><\/span>Unionbank
\nv. Court of Appeals (G.R. No. 177486, 21 December 2009), the court said:<\/span> <\/span><\/span><\/div>\n
\n\u201cThe present case having been heard
\nand found dismissible as it was in fact dismissed, the writ of preliminary
\ninjunction is deemed lifted, its purpose as a provisional remedy having been
\nserved, the appeal therefrom notwithstanding.<\/span><\/i><\/b><\/div>\n
\nUnionbank v. Court of Appeals
\nenlightens:<\/span><\/i><\/div>\n
\nxxx a\u00a0<\/span>dismissal, discontinuance or
\nnon-suit of an action in which a restraining order or temporary injunction has
\nbeen granted operates as a dissolution of the restraining order or temporary
\ninjunction<\/b>,\u201d regardless of whether the period for filing a motion for
\nreconsideration of the order dismissing the case or appeal therefrom has
\nexpired.\u00a0<\/span>The rationale
\ntherefor is that even in cases where an appeal is taken from a judgment
\ndismissing an action on the merits, the appeal does not suspend the judgment,
\nhence the general rule applies that a temporary injunction terminates
\nautomatically on the dismissal of the action<\/b>. (Emphasis supplied.)<\/span><\/i><\/div>\n
\n15.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0
\n<\/span><\/span><\/span>Petitioner respectfully submits to the Honorable Commission
\nthat there is an urgent need for <\/span><\/span>ABC<\/span><\/span> to call for a special stockholder\u2019s meeting in
\norder to elect new set of Board of Directors considering that the present
\nnumber of director is not legally sufficient to transact business requiring
\nmajority vote of the total membership of the board, not only for lack of quorum
\nbut also for want of unanimity in decision on important business matters, and
\nthus, operations of <\/span><\/span>ABC <\/span><\/span>are severely hampered; and to comply with
\nreportorial requirements of this Commission as the present officers failed to
\ncomply.<\/span><\/span><\/div>\n
